Reorganization of Subsidiaries in IT Field



Tokyo, February 28, 2006 - Impress Holdings, Inc. (TSE: 9479) today announced a restructuring via corporate separation (*1) at Impress Corporation, the Impress Groupfs subsidiary responsible for IT-related publishing media businesses and digital media businesses. The reorganization will create a three-company structure, and will be effective April 3, 2006.

1. Purpose of the Reorganization
  The Impress Groupfs gManagement Reform Planh medium-term management plan aims to enhance the Groupfs specialist capabilities and increase flexibility in operations, and the Group has traditionally been managed under a structure of separate companies. In order to more thoroughly implement this policy, Impress intends to reorganize the IT-related media businesses currently being pursued by Impress Corporation as three independent companies, with each specializing in a business domain reflecting the respective customer bases of each business.
  By delegating management authority to the separate companies, Impress aims to reinforce its organization in order to provide products and services that accurately address the needs of each market, while at the same time facilitating swift and flexible Group management.

  The logo is designed using a magnifying glass motif to represent the companyfs mission to gsearchh and ginvestigate,h and can also be seen as the letter gi,h for Internet, the businessfs central theme. The Internet is said to be complex, but that complexity can be seen as the reciprocal relationship between its macro and micro aspects. The company will seek to clearly explain the changes in industry and society being brought about by the Internet, by pursuing detailed, real-life information.
  The symbol can also be viewed as a human hand making a ring, and even in this digital age, this shows our belief that people are the central focus, and that collaboration among many people will bring about the next phase of society.

The company name expresses our desire to encourage active collaboration, in Japanese, between users brimming with curiosity and manufacturers that are technological leaders, thereby raising the level of creativity and contributing to the next generation of Japanese culture.
  The symbol incorporates the letter gi,h expressing Impressfs DNA, combined with gjh to symbolize Japan. This presents an image of our ideal relationship of the two entities mutually affecting each other, and our desire to have an even closer relationship. The pattern between the two letters expresses gdot,h the digital symbol. When dots are concentrated together they create a surface, making a gwaveh moving back and forth between the two letters.

  Internet-based video media are constantly in a state of change. The name gair impressh expresses the idea that Internet video content is not something that resides in a wired or wireless connection, but is always in the air around us, and we want to make its existence essential to everyone.
  The first of the three circles in the symbol represents gmedia,h and the second and third express gfusionh - the fusion between highly original and specialized video content and media with wired and wireless telecommunications, and the fusion between telecommunications and media.
